Job Description Job Title: Transaction Manager - London / Dublin Department: Corporate Trust Our clients are recruiting for an experienced Transaction Manager in London to cover German deals; this role is primarily focussed on the corporate trust products in Structured Finance and Corporate /Sovereign. Candidates must understand the role and obligations of the trustee and relevant agents in contractual arrangements and be able to negotiate on behalf of our client in corporate trust transactions. Being a strong team player and flexibility is essential to the role. You will also need to have strong documentational experience and excellent organisational and communication skills (both written and verbal). Qualifications Qualifications needed are (a) legally qualified in Germany or a common law jurisdiction with experience with the German market with 3 years debt capital markets experience or (b) educated to degree level and 5 - 8 years experience in German Transaction Management or document review in German debt capital markets or (c) Fluency in German and English. Special consideration will be given to candidates with relevant European language skills which match our client’s requirements or have Trustee legal experience. Consideration will also be given to those qualified in other civil law jurisdictions provided they have enough German jurisdictions experience in debt capital markets. Arranger, legal or Transaction Management experience in debt capital markets would be an advantage. The candidate should be willing to travel to the Frankfurt office regularly and to visit clients in Germany. Some of the responsibilities will include: 1. Be responsible for the review, negotiation and safe keeping of documents entered into by the relevant product group in Corporate Trust that they are aligned to. 2. Liaise with the sales group after mandate to onboard the transaction. 3. Be responsible for the execution of documents and attendance at closing meetings, where necessary, and opening accounts for such deals and arranging for KYC to be completed prior to closing. Depending on the product group the BAU administrations teams may assist in onboarding administration for new deals. You will also be responsible for ensuring the deal has been properly approved by the Bank before execution of the deal. 4. Be responsible for the issuance of the bonds in conjunction with ITS Closings and the Common Depository team. 5. Provide effective handover to BAU administration teams of new transactions at closing. 6. Provide advice to BAU administration teams for ad hoc documentary advice and assist on product initiatives (where necessary) and on the redemptions of deals 7. Be responsible for review of amendments, note holder meetings and resolutions post closing in conjunction with CT Events Admin, subject to the policy of the Trustee committee and their relevant product group. 8. Liaise with Trustee counsel on each transaction together with development and maintenance of relationships with law firms. 9. Provide assistance on projects and documentational / jurisdictional issues and procedures as required by the business.
